End User License Agreement (EULA)
This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and
Audisa Pty Ltd (ABN: 61 690 857 679 | ACN: 690 857 679)
(“Audisa,” “we,” “our,” “us”), governing your use of the Audisa Integrated Management System (AIMS),
including associated websites, dashboards, software, databases, documentation, and resources
(collectively, the “System”).
By accessing or using the System, you agree to be bound by this Agreement.
If you do not agree, you must not use the System.
1. License Grant
Audisa grants you a limited, non-exclusive, non-transferable, revocable license
to access and use the System in accordance with your assigned tier of access.
Tier levels (e.g., Basic, Pro, Elite, Distributor) provide different rights and access to resources,
such as CAD/Revit/SketchUp files, specifications, order placement, and support services.
Your license extends only to the tier you have been granted and does not give you rights
to higher-level features unless upgraded or approved by Audisa.
2. Restrictions
You agree not to:
- Copy, modify, adapt, translate, or create derivative works of the System;
- Reverse engineer, decompile, or attempt to extract the source code;
- Sell, rent, sublicense, or distribute the System or its content to third parties;
- Access or use the System for competitive purposes;
- Share tiered content (e.g., CAD libraries, product data) outside your authorized projects;
- Upload or transmit viruses, malicious code, or unauthorized data.
3. Intellectual Property
All intellectual property rights in AIMS, including but not limited to software code, databases, CAD files,
design libraries, images, logos, and documentation, remain the exclusive property of Audisa Pty Ltd.
You are granted access only to use resources for legitimate project and design purposes.
Redistribution, resale, or replication without written consent is strictly prohibited.
4. User Responsibilities
You are responsible for:
- Maintaining confidentiality of your account credentials;
- Ensuring accuracy of information provided;
- Complying with all applicable laws and regulations;
- Using the System only for authorized business or personal purposes consistent with your access tier.
5. Tiered Access & Membership
Access to certain tools, downloads, and services within AIMS depends on your tier level.
Tier upgrades, downgrades, or revocations are at the discretion of Audisa.
Unauthorized attempts to bypass or misuse tier restrictions may result in immediate termination of access.
6. Termination
Audisa may suspend or terminate your access to the System, with or without notice, if:
- You breach this Agreement;
- You misuse the System or violate company policies;
- Your membership, employment, or partnership agreement with Audisa ends.
Upon termination, you must immediately cease using the System and destroy any downloaded or stored materials.
7. Disclaimer of Warranties
The System is provided “as is” and “as available” without warranties of any kind.
Audisa does not guarantee uninterrupted access, error-free operation, or accuracy of data.
8. Limitation of Liability
To the maximum extent permitted by law, Audisa shall not be liable for any damages, including but not limited to:
- Loss of profits, data, or business opportunities;
- Downtime, delays, or interruptions;
- Errors or omissions in product specifications or CAD resources.
9. Updates & Modifications
Audisa reserves the right to update, modify, or discontinue the System at any time without liability.
Continued use of the System after updates constitutes acceptance of the revised terms.
10. Governing Law
This Agreement is governed by the laws of New South Wales, Australia.
Any disputes will be subject to the exclusive jurisdiction of the courts in New South Wales.
